OTRS AG (“the Company”) announces that its principal shareholder, Optimus BidCo AG, a stock corporation organized under German law with registered office in Frankfurt am Main and entered in the commercial register of the Local Court of Frankfurt am Main under HRB 127071, by letter dated May 6, 2025, requested the Management Board of the Company to convene a general meeting to resolve on the transfer of the shares of the remaining shareholders of the Company (minority shareholders) to Optimus BidCo AG in return for an appropriate cash compensation in accordance with Sections 327a et seq. of the German Stock Corporation Act (AktG) (stock corporation squeeze-out).
In confirmation and specification of this request dated May 6, 2025, Optimus BidCo AG informed the Management Board of the Company on September 9, 2025, that the appropriate cash compensation pursuant to Section 327b (1) sentence 1 AktG has been determined at EUR 17.00 per no-par value bearer share of the Company.
The invitation to the general meeting, which is yet to be convened and is expected to take place on November 12, 2025, including further details, will be published in the German Federal Gazette (Bundesanzeiger).
